JOB TITLE: BOARD OF DIRECTORS MEMBER

DUTIES AND RESPONSIBILITIES:
- Assist staff in identifying the organization’s mission, developing a strategic plan to fulfill the mission, and identify and select programs to achieve strategic goals and objectives. This process should include:
- Evaluating existing and potential financial resources;
- Examining internal and external forces affecting the organization and its funding;
- Reviewing the costs and effectiveness of existing programs; and
- Examining alternatives and their financial implications
- Monitor the availability of cash to ensure continuing operations
- Monitor the financial strength (level of reserves) of the organization.
- Periodically review organization’s expenses to ensure that they are in line (rising or falling at the same pace as revenues)
- Ensure that expenditures are appropriate by reviewing and comparing operating and fundraising costs with industry standards.
- Ensure that the organization is adequately managing its risks, either by insurance or other means, to ensure its continued existence
- Responsible for ensuring that guidelines and requirements set by the organization’s funders are being followed
- Periodically review operating policies and procedures, and providing assurances that management is following board policies. This may include, but is not limited to: internal controls, accounting procedures, investment policies, and personnel policies.
- Provide oversight to organization’s financial operations (may be delegated to the Finance Committee of the Board).
- Review and approve year-end audited financial statements
- Attend once monthly meetings and maintain position on at least one standing committee and ad hoc committees.

TERMS:
- HAP Board members serve two-year terms. Terms begin and end at the annual meeting. The maximum number of consecutive terms a board member may serve is three, for a total of six years of service.
- Potential board members will be asked to make a commitment to serve at least one full two-year term before being considered for membership.
- Board members elected to fill the remainder of an exiting board member’s term will begin a first full term at the subsequent annual meeting.
